Nite Out – A Proprietary Service of Zero Day Technology LLC

Nite Out is a digital platform designed, owned, and operated exclusively by Zero Day Technology LLC (“Company,” “we,” “us,” or “our”), facilitating the social interaction of users based on proximity and self-reported intent to engage in public social activities. By accessing, registering for, installing, or utilizing the Nite Out application (“App”), you (“User,” “you,” “your”) irrevocably consent to the stipulations, covenants, and obligations set forth herein (the “Agreement”).

If you do not expressly and unambiguously assent to these Terms and Conditions in their entirety, you are unauthorized to use the App and must immediately discontinue use.

Acknowledgment, Acceptance, and Amendments

1.1 Legal Capacity and Age Requirement
By utilizing the App, you represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to be bound by this Agreement. The Company assumes no liability for false representations concerning user eligibility.

1.2 Modification and Revision of Terms
Zero Day Technology LLC reserves the unilateral right, exercisable at its sole discretion, to modify, amend, revise, or supplement these Terms and Conditions without prior notice. Any such amendments shall become effective immediately upon publication within the App or on an associated website. It is the User’s sole responsibility to regularly review these Terms, and continued use of the App constitutes binding acceptance of any modifications.

1.3 User Account Responsibility
The security and confidentiality of account credentials, including but not limited to passwords and authentication measures, are the sole responsibility of the User.
The Company bears no liability for unauthorized account access or subsequent damages resulting therefrom.
Any suspected security breach must be reported immediately, and Users must take prompt remedial action to secure their accounts.

User-Generated Content (UGC) and Community Standards

The App enables users to post, share, and engage with user-generated content (UGC). To maintain a safe and respectful community, all users must adhere to the following:

2.1 Prohibited Content
You may not post, share, or distribute content that:

Contains hate speech, harassment, threats, or discriminatory language.
Includes nudity, sexually explicit material, or violent imagery.
Promotes illegal activities, self-harm, or dangerous behaviors.
Violates copyright, trademark, or intellectual property laws.
Contains misleading, fraudulent, or deceptive information.

2.2 User Conduct and Responsibilities
Users agree not to:

Engage in spam, scams, or misleading advertising.
Use the App for criminal, unethical, or unlawful purposes.
Impersonate another individual or misrepresent their identity.
Attempt to hack, disrupt, or manipulate the platform for personal gain.

Violations of these rules may result in immediate content removal, account suspension, or permanent banning from the App.

2.3 Content Moderation and Reporting System

We have a strict moderation system to monitor and remove objectionable content. Users can report content or interactions that violate these Terms.

How We Handle Reports

Users can flag inappropriate content using the in-app reporting feature.
We review reports within 24 hours and take appropriate actions.
Actions may include content removal, warnings, suspensions, or account termination.

User Safety, Blocking, and Abuse Prevention

3.1 Blocking and Privacy Protection

Users can block others to prevent interactions.
Once blocked, users cannot view, message, or interact with each other.
We do not share personal user data beyond what is publicly visible on a profile.

3.2 Handling Abusive Users

Repeated violations of the Terms will lead to account suspension or permanent banning.
The Company reserves the right to remove any user that engages in harmful, illegal, or inappropriate behavior.

Disclaimer of Liability and Assumption of Risk

4.1 No Warranty for User Interactions
The App serves exclusively as a tool to connect individuals based on self-reported data and geographic proximity. Zero Day Technology LLC does not verify user identity, intentions, character, or suitability.

By using the App, you acknowledge that:

You assume all risks associated with meeting individuals in real life.
The Company is not responsible for fraud, misrepresentation, or disputes between Users.
You release Zero Day Technology LLC from any claims, demands, or damages arising from interactions initiated through the App.

4.2 No Liability for Third-Party Conduct
Zero Day Technology LLC disclaims responsibility for:

Personal injury, financial loss, or emotional distress due to app use.
Disputes, altercations, crimes, or misconduct following user interactions.
Cybersecurity issues, data breaches, or unauthorized account access.

The App is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.

Data Collection, Processing, and Monetization

5.1 Scope of Data Collection
By using the App, you expressly consent to the collection and processing of the following data:

Personal Information: Name, age, gender, preferences, and profile details.
Geolocation Data: Real-time location tracking for user matchmaking.
Usage Metrics: In-app behaviors, preferences, and engagement analytics.

5.2 Data Utilization and Sharing
Zero Day Technology LLC reserves the right to:

Use data for targeted advertising and content personalization.
Aggregate and anonymize data for licensing or analytics purposes.
Disclose information in response to legal requirements or subpoenas.

Intellectual Property and Proprietary Rights

6.1 Ownership of Intellectual Property
The App, including its software, branding, algorithms, and UI/UX design, is the exclusive property of Zero Day Technology LLC. Users may not:

Copy, modify, or distribute any part of the App.
Violate the Company’s copyrights, trademarks, or patents.
Develop competing services using our technology.

6.2 User-Generated Content License
By posting content in the App, you grant Zero Day Technology LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, modify, and distribute your content within the App.

Termination and Account Deactivation

7.1 Grounds for Termination
Zero Day Technology LLC reserves the right to suspend, restrict, or permanently terminate accounts in cases of:

Violating these Terms.
Engaging in fraudulent or illegal activities.
Abusing or misusing App features.

Users may voluntarily deactivate their accounts at any time.

Governing Law, Dispute Resolution, and Limitation of Liability

8.1 Governing Law and Jurisdiction
